Terms of Service
The agreement between Rebound and the merchants who install and use the App.

These Terms of Service ("Terms") are a binding agreement between [LEGAL ENTITY NAME] ("Rebound", "we", "us") and the merchant ("you") who installs or uses the Rebound back-in-stock app for Shopify (the "App").
By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.
01The service
The App lets your customers subscribe to back-in-stock notifications on out-of-stock product pages, delivers those notifications over WhatsApp through the Meta Cloud API, and attributes recovered revenue to each notification. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your Shopify store during the term.
02Eligibility and accounts
You must have an active Shopify store and a WhatsApp Business account connected through the Meta Cloud API. You are responsible for the accuracy of your account information and for all activity that occurs under your account.
03Plans, billing, and fees
The App is offered on the plans described on the Site. Fees are charged through Shopify Billing and are subject to Shopify's terms. Plans are billed in advance on a recurring basis and, except where required by law, are non-refundable.
Each plan includes a monthly notification allowance. Sending pauses automatically when you reach your limit; you may upgrade at any time. WhatsApp Cloud API message fees charged by Meta are billed to your own Meta account and are separate from Rebound's fees.
04Your responsibilities
You are solely responsible for:
- Obtaining valid, explicit consent from customers before collecting their contact details and sending them messages.
- Complying with the Meta / WhatsApp Business Messaging Policy, your local marketing and consumer laws, and applicable data-protection laws (including the GDPR and LGPD).
- The content of any messages and any product, pricing, and inventory data you provide.
You act as the data controller for your customers' personal data. Our processing of that data is governed by our Data Processing Agreement.
05Acceptable use
You agree not to use the App to send spam or unsolicited messages, to violate any third party's rights, to transmit unlawful, deceptive, or harmful content, or to attempt to disrupt, reverse engineer, or gain unauthorized access to the App or its systems.
06Third-party services
The App depends on third-party services, including Shopify and Meta/WhatsApp. Your use of those services is governed by their own terms, and we are not responsible for their availability, changes, or actions. WhatsApp is a trademark of Meta Platforms, Inc.; Rebound is not affiliated with, endorsed by, or sponsored by Meta or WhatsApp.
07Intellectual property
The App, the Site, and all related software, content, and trademarks are owned by Rebound or its licensors and are protected by law. These Terms grant you no rights in them except the limited license described above.
08Disclaimers
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that any specific revenue, recovery, or delivery outcome will be achieved.
09Limitation of liability
To the maximum extent permitted by law, Rebound will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total aggregate liability arising out of or relating to the App will not exceed the amounts you paid to us for the App in the [LIABILITY PERIOD] months preceding the event giving rise to the claim.
10Indemnification
You agree to indemnify and hold Rebound harmless from claims, damages, and expenses arising out of your use of the App, your content, or your breach of these Terms or of applicable law, including consent and messaging laws.
11Term and termination
These Terms apply while the App is installed. You may stop using the App at any time by uninstalling it from your Shopify admin; doing so cancels any active subscription and stops all notifications, and we will clean up subscriber data as described in our Privacy Policy. We may suspend or terminate the App for breach of these Terms or as required by law.
12Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "last updated" date. Continued use of the App after changes take effect constitutes acceptance.
13Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the courts of [JURISDICTION/VENUE], except where applicable law grants you the right to bring proceedings elsewhere.
